The Great-West Life Assurance Company ("Great-West Life") provides this secure site for the sole use of Great-West Life, its authorized group policyholders and their authorized employees and agents. The use of this site is governed by the GroupNet Access Agreement entered into between Great-West Life and the group policyholder who has authorized your access to this site (the "Group Policyholder"). You agree to use this site and the information contained on this site solely for the purposes of plan administration as authorized by the Group Policyholder and only for as long as this authorization remains in effect. Your use shall be subject to any access restrictions that apply to you under such authorization.

Use of Great-West Life GroupNet for Plan Administration

Great-West Life authorizes you to use this site solely for the purposes of plan administration as authorized by the Group Policyholder. Great-West Life reserves the right to suspend any services provided on this site for violating any of these terms and conditions. In order to use this site, you must have attained the minimum prescribed age in the jurisdiction in which you are resident to contract for the products and services.

Any information or transaction accessed, transmitted or performed on this site which is related to any other product or service shall be subject to any terms, conditions or restrictions applicable to such product or service.

Use of User Name and Password

Your user name and password shall constitute your electronic signature ("Electronic Signature") in your dealings on this site. You authorize Great-West Life, or any other party, as applicable, to execute any instructions that are provided pursuant to your Electronic Signature. You acknowledge and agree that your Electronic Signature is the legal equivalent to your written, signed instructions.

You agree that the web pages you access shall constitute written documents and that clicking or otherwise electronically activating "accept", "register", "submit", "continue", "ok" or any other similar icons on such pages according to online instructions shall have, except as may otherwise be specifically indicated, the same legal effect as if you had signed and delivered hard copy versions of such documents to Great-West Life.

You agree to take appropriate security measures to protect the confidentiality of your Electronic Signature (including those measures set forth in Your Responsibility) and to guard against misuse of your information. You will notify Great-West Life and the Group Policyholder immediately should the confidentiality of your user name or password be in jeopardy or in the event that there has been unauthorized use of your Electronic Signature.

Cancellation of Access to this site

You may cancel your access to this site at any time by providing notice in writing or by electronic means to Great-West Life at least ten (10) days prior to the effective date of cancellation or by calling Great-West's GroupNet Help Desk.

Great-West Life will have no liability for any loss, damage or inconvenience that may result from cancellation of any or all of the services provided by, or your access to, this site.

This Agreement shall be governed by the laws of the Province of Manitoba and the laws of Canada applicable therein and you agree to attorn to the jurisdiction of the courts of the Province of Manitoba.

If there is any inconsistency or conflict between the terms and conditions of this Agreement and those of any predecessor agreement that you may have entered into relating to any access method offered by Great-West Life, this Agreement shall prevail.

If any provision of this Agreement is determined to be invalid or unenforceable, everything else in this Agreement shall continue in full force and effect.
